Terms of Service

These Terms of Service (“Terms”) govern the purchase, manufacture, supply, and delivery of composite electrical panels, outdoor cabinets, modular distribution boards, junction boxes, roadway chambers, and related infrastructure hardware manufactured by Fiber Opti Ink (“Company,” “we,” “us”).

By issuing a Purchase Order (PO), confirming an official Request for Quotation (RFQ), commissioning custom mold fabrication, or accepting delivery of consignments, the purchasing organization (“Buyer,” “Client”) unconditionally agrees to be bound by these Terms.

All commercial estimates, catalog price lists, and technical RFQ responses issued by Fiber Opti Ink are subject to the following conditions:

• Validity Window: Unless otherwise stipulated in writing on an official proforma invoice, standard quotations remain valid for thirty (30) calendar days from issuance.
• Raw Material Escalation: Quotations reflect current raw polymer, fiberglass roving, and stainless steel hardware index rates. Substantial market price movements prior to official PO acceptance may necessitate adjusted quotation schedules.
• Taxation & Duties: Unless explicitly noted, all quoted rates exclude Goods and Services Tax (GST), custom import/export levies, octroi, and local municipal entry taxes, which shall be billed at statutory rates upon dispatch.

Fiber Opti Ink manufactures components via high-pressure hot compression molding (SMC/DMC) and hand lay-up pultrusion composites:

• Dimensional Standards: Products adhere to standard engineering dimensional tolerances specified in approved factory production drawings (±1.5mm standard molding tolerance unless precision CNC post-machining is contracted).
• Drawing Signoff: Production commences exclusively upon receiving signed, client-approved General Arrangement (GA) drawings and single-line diagrams (SLD). Any subsequent revision after mold setup may incur tooling adjustment charges.
• Color & Finish: Standard pigmentations follow industrial RAL codes (e.g., Light Grey RAL 7035). While batch colors are tightly controlled, minor natural composite surface variations are normal in compression thermoset resins and do not affect dielectric or structural performance.

Orders are validated upon receipt of an authorized commercial PO matching quotation parameters:

• Custom Fabricated Products: Because bespoke electrical distribution panels, customized cutout boxes, and tailored busbar arrangements are engineered to specific tender requirements, orders for customized equipment cannot be cancelled once raw material compression molding has commenced.
• Standard Catalog Units: Cancellation of standard off-the-shelf inventory before dispatch incurs a standard restocking and administrative processing fee of 15% of the invoice value.

We ensure rigorous verification prior to product dispatch from our manufacturing facilities:

• Factory Inspection: Buyers or designated third-party inspection agencies (e.g., TUV, BVQI, SGS, or client project engineers) are invited to witness Factory Acceptance Tests (FAT) at our works prior to packing.
• Transit & Freight: Unless contracted under specific CIF/Delivered Site terms, shipments are supplied on an Ex-Works (EXW) or Freight-on-Board (FOB) plant basis. Risk of loss passes to the Buyer upon handover to the commercial carrier.
• Receipt Inspection: The Buyer shall inspect consignments upon receipt at the project destination. Any transit damage or shortages must be reported within five (5) business days with supporting photographic evidence and carrier consignment notes.

Warranty Exclusions: This warranty does not cover defects arising from:

• Improper civil foundation installation, unapproved physical modification, or unauthorized structural drilling violating certified IP ratings.
• Electrical flashover resulting from external grid short circuits exceeding specified fault ratings (e.g., beyond 50kA ratings).
• Normal cosmetic wear, accidental vehicular impact beyond rated tonnages, or extreme chemical attack outside published compatibility specifications.

Unless custom tooling costs are 100% amortized and explicitly transferred in writing via a proprietary mold ownership deed, all compression molds, hydraulic pressing dies, CAD tooling geometries, and resin formulations developed by Fiber Opti Ink remain the exclusive intellectual property of the Company.

To the maximum extent permitted by applicable Indian commercial law:

• Fiber Opti Ink’s sole liability for any proven defective unit is limited exclusively to the repair or replacement of the defective component at our factory works, or issuing a credit note up to the invoice value of the affected unit.
• Under no circumstances shall Fiber Opti Ink be liable for incidental, special, consequential, or punitive damages, including loss of power grid revenue, telecommunication downtime, project delay liquidated damages (LD), or third-party site remediation costs.

Neither party shall be held liable for delivery delays or failure of performance resulting from events beyond reasonable operational control, including natural catastrophes, severe monsoons, nationwide transport strikes, regional raw material embargos, electrical grid collapse, governmental requisitions, or civil emergencies. In such events, dispatch timelines shall be reasonably extended.

These Terms, commercial contracts, and supply transactions are governed by the laws of the Republic of India. In the event of any commercial disagreement or dispute that cannot be resolved amicably within thirty (30) days of formal written notice, the matter shall be submitted to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
